THE FOLLOWING TERMS AND CONDITIONS OF AGREEMENT (THE "AGREEMENT") GOVERNS YOUR USE OF THE WEBSITE LOCATED AT WWW.URIDE.TV (THE "SITE")

Your access to and use of uRide.tv™ is subject to the terms of Agreement below. By applying for access and or services from this website, you are agreeing to these terms and conditions, and are agreeing to be legally bound by them.

IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, DO NOT ACCESS OR OTHERWISE USE THIS SITE, PRODUCTS, OR ANY INFORMATION ON OR RELATED TO THIS SITE.

YOU MUST BE AGE 13 OR OLDER TO USE THIS WEBSITE; IN THE EVENT THAT YOU ARE OVER THE AGE OF 13 BUT UNDER AGE 18, YOU MUST FIRST HAVE YOUR PARENT OR LEGAL GUARDIAN'S PERMISSION TO USE THIS SITE AND PRODUCTS, AS WELL AS, HAVE THEM READ AND AGREE TO THESE TERMS.

To accept the terms and conditions, to be bound by them and to gain access to uRide.tv, please read the Agreement before indicating your acceptance by clicking the box below.

Terms and Conditions of Agreement

This Agreement is entered into between the End-user/Consumer of the services of the ww.uRide.tv website and holder of a valid username and password that is used to access www.uRide.tv, "Subscriber", and BikeWear World, LLC ("BikeWear World") regarding ("www.uRide.tv"), and related Internet website services.

1. License

a. Grant.
BikeWear World provides digital content and services through the Site. Subject to the terms of this Agreement, you, the Subscriber are hereby granted a non-exclusive, non-transferable, limited license to access the website www.uRide.tv for your own personal use and to use various BikeWear World-owned and third party data, forms, databases, services, functions, materials, software, systems, and remotely-accessed gateways (collectively "Features") which Features may change from time to time. Access to certain Features may be restricted. Where applicable, Subscriber is provided herein with a limited licensed to view and use the data, services and applications made available on www.uRide.tv subject to the terms stated herein.

b. Limitations.
The performance of the Site and the Features may vary with the Subscriber's manufacturers' equipment with which it is used. Certain software used by Subscriber may not be capable of supporting www.uRide.tv. Subscriber assumes sole responsibility for the maintenance, use and results obtained from the www.uRide.tv website and services.

The Site and all BikeWear World proprietary data and Features may be accessed by Subscriber pursuant to the terms of this Agreement. Subscriber may use data cached in Subscriber's local disk drive solely in support of his or her own personal use of uRide.tv.

Subscriber may not copy, reproduce, download, scrape, store, reverse-engineer, modify, edit, publish, transmit, retransmit, distribute, transfer, disseminate, broadcast, circulate, sell, resell or otherwise use any portion of the Site, including, without limitation, the software, source code, Features, digital content, services or any portion of any of the software, source code, the Features or services in any form or by any means, except (i) as expressly permitted by this Agreement or (ii) with BikeWear World's prior written permission.

Data shall not be stored or used in any other searchable database except by Subscriber on his own personal computer, during the term of this Agreement. Retention of any data or Features in any archival database or in any databases accessible to external users is expressly prohibited. Subscriber shall not sell, license or distribute any data or Features (including printouts) to any third parties or use any Features as a component of or as a basis for any material offered for sale, license or distribution. Any publication, republication or direct transmission of electronic copies of any BikeWear World’s data and/or Features by Subscriber is strictly prohibited.

Subscriber otherwise expressly acknowledges and agrees that he or she has no right to store, copy, reproduce, create derivative works from, reverse engineer, alter, enhance or in any way exploit any of the Features of the Site in any manner other than is expressly permitted by this Agreement.

c. Proprietary Rights.
i)  Data. Except for the license granted in this Agreement, all rights, title and interest in the BikeWear World and/or www.uRide.tv Features,in all languages, formats and media throughout the world, including all copyrights, are and will continue to be the exclusive property of BikeWear World and/or other authorized contributors ("Contributors") whose contributions are permitted subject to the terms of limited use of such data or content as specified within this and/or any other respective or additional terms of agreement.

ii)  Trademarks and Trade Dress. uRide, URide.tv and BikeWear World are the trademarks of BikeWear World. Other trademarks, names and logos on this Site are the property of their respective owners. Unless otherwise specified in this Agreement, all information, layout, designs and screens appearing on the Site, including documents, services, site design, text, graphics, logos, images and icons, as well as the arrangement thereof, are the sole property of BikeWear World. Any and all rights not expressly granted herein are reserved. Except as otherwise required or limited by applicable law, any reproduction, distribution, modification, retransmission, or publication of any copyrighted material is strictly prohibited without the express written consent of the copyright owner or licensor.

d. Additional Terms.
Access to uRide.tv is subject to additional Policies (posted at www.uRide.tv/_____________/ ) and certain additional products and premium services may be governed by additional terms and conditions, including charges, which are different from those set forth in this Agreement ("Additional Terms"). Subscriber will be given an opportunity to review any such Additional Terms by receiving notice of such Additional Terms in writing or online. Additional Terms may be modified effective upon BikeWear World giving Subscriber notice (in writing or online) of the modification. By using Features governed by Additional Terms, Subscriber agrees to, and will be obligated to comply with, all such Additional Terms as well as the terms and conditions in this Agreement. All Additional Terms will be considered part of this Agreement.

BIKEWEAR WORLD MAY MAKE CHANGES TO THE CONTENT OFFERED ON THIS SITE, AT ANY TIME WITHOUT NOTICE, AND BIKEWEAR WORLD MAY AMEND THESE TERMS AT ANY TIME WITHOUT NOTICE BY POSTING D TERMS OF USE ON THIS SITE. YOUR CONTINUED USE OF THIS SITE AND/OR PRODUCTS AFTER SUCH CHANGES HAVE BEEN POSTED ACKNOWLEDGES YOUR AGREEMENT TO THE NEW TERMS, EVEN IF YOU HAVE NOT REVIEWED THE CHANGES. THEREFORE, YOU SHOULD CHECK THE TERMS OF USE POSTED ON THIS SITE PERIODICALLY FOR S AND CHANGES.

2. Subscriber’s Responsibilities

a. Code of Conduct Subscriber may not
use any of the uRide.tv Features or services for any illegal or unauthorized purpose. The Features shall be used only in a noncommercial manner. Subscriber is solely responsible for his or her own conduct and any data, text, information, graphics, photos, profiles, audio and video clips, links and other content ("Materials") that Subscriber may submit, transmit, send, post, or display by using any of the uRide.tv Features. International users agree to comply with all local rules regarding on-line conduct and acceptable content, including laws regulating the export of data from the United States. Subscriber shall not upload, distribute through, or otherwise publish through any Feature or otherwise post or send any content which is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable that would constitute or encourage a criminal offense, violate the rights of any party, including but not limited to the rights of privacy, publicity, copyright and/or trademark, or that would otherwise give rise to any liability or violate any law.

b. Site Etiquette
At all times, Subscriber's conduct should be guided by common sense and basic etiquette. To further these common goals, when posting Submissions to or otherwise using this Site, Subscriber specifically agrees not to:

• Post, submit or distribute any materials containing any intellectual property protected by another's copyright or trademark without the express permission from the owner thereof.
• Defame, abuse, harass, attack, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
• Post anything that can be reasonably perceived as exploitative or harmful to children or minors or to otherwise encourage the participation of any Subscriber in a group that appears to exploit children or minors.
• Post any content that is pornographic, scandalous, abusive, vulgar, or strictly intended for adult audiences.
• Misrepresents the Subscriber’s age or identity in any manner.
• Use explicit/obscene language or solicit/post sexually explicit images (actual or simulated) or to post or otherwise participate in the posting of any racial, ethnic, religious epithets or other offensive language.
• Impersonate BikeWear World any of its staff, Subscribers or other industry professionals.
• Solicit any other Subscriber's password or other account information.
• Harvest user names, avatar names, addresses, homepage URL's or email addresses for any purpose other than your personal use in your interactions on the Site.
• Post information that makes available or includes another individual's personally identifiable information (for example, their name, e-mail address, postal address, phone number, employer or school).
• Disseminate any unsolicited or unauthorized advertising, promotional materials, 'junk mail', 'spam', 'chain letters', 'pyramid schemes', or any other form of such solicitation.
• Discuss or incite illegal activity.
• Post anything that depicts cruelty to animals.

This list of prohibitions provides examples and is not intended to be complete and/or exclusive. BikeWear World reserves the right to (a) terminate your access to your account, your ability to post to this Site and (b) refuse, or remove any Submissions that BikeWear World determines inappropriate, off-topic or disruptive to this Site or to any other user of this Site with or without cause and with or without notice, for any reason or no reason. BikeWear World reserves the right to restrict the number of emails or other messages which you are allowed to send to other users to a number that BikeWear World deems appropriate in BikeWear World's sole discretion.

Subscriber’s access to the Site is undertaken at your own risk and BikeWear World shall not be responsible for any improper, offensive or otherwise objectionable materials, including spyware that may be posted or otherwise linked by any third party. Subscriber understands that BikeWear World is not responsible for any interactions and/or dealings between Subscriber and any Contributor or other user of the Site. BikeWear World is not responsible for any loss, harm or damage of any sort incurred as a result of any such interactions or dealings and BikeWear World assumes no obligation in any resulting dispute.

In general, BikeWear World will not monitor or edit the contents of any Materials unless required in the course of normal maintenance of the Web site and its systems or unless required to do so by law or in the good-faith belief that such action is necessary to: (1) comply with the law or comply with legal process or notice served on Bike Wear World 2) reasonably address any party's claims of right, damage, infringement of intellectual property or other legitimate business interest, personal safety or property; or which otherwise may violate any other proprietary right or this Agreement. BikeWear World has the right, but not the obligation to monitor and edit or remove any Materials, communications or content.

c. Submissions
Subscriber hereby acknowledges that he or she is solely responsible for any and all text, information, graphics, audio-visual material, and/or any other data or material that Subscriber may submit, post or otherwise make available to others on or through the Site (“Submissions�). Subscriber agrees not to upload, post or otherwise make available on this Site any material protected by copyright, trademark, or any other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right owned by a third party.

Subscriber further represents and warrants that when posting any Submissions, Subscriber shall and does certify and affirm that (i) he or she owns all Submissions posted and/or has the right to distribute any such content
(ii) that the Subscriber has the right to grant the licenses to BikeWear World set forth in this section, and
(iii) the posting of any such Submissions on or through this Site does not violate the privacy rights, publicity rights, trademark rights, copyrights, contract rights or any other rights of any person or entity, nor any of the terms contained in this Agreement. Subscriber further agrees that the individual Subscribers who may post any Submissions and not BikeWear World shall bear full responsibility for each such Submission, including the legality, reliability, appropriateness, thereof.

Unless otherwise explicitly stated herein or in the BikeWear World Privacy Policy, you hereby agree that any postings or Submissions provided by you in connection with this Site is provided on a non-proprietary and non-confidential basis. By posting any Submissions, you further agree to grant to BikeWear World, a perpetual, world-wide, non-exclusive, unrestricted royalty-free license (in any media, whether now known or not currently known or invented) to collect, utilize, use, publicly perform, publicly display, reproduce, distribute, link to, modify and/or prepare derivative works from any Submission, data or material posted by Subscriber.

3. Responsibility for Passwords and Subscriber Access

Unauthorized access to the site is a breach of this Agreement and a violation of law. Subscribers acknowledge that the BikeWear World may track through the use of special software each Subscriber’s entry to the site. Access to the site is through a combination of a username and a password. Subscriber is solely responsible for maintaining the security of his or her username and password and may not under any circumstances release such information to any other person or otherwise grant to any other person any use or access to any of the data, content and/or Features of the Site. BikeWear World will not release passwords for any reason, to anyone other than the Subscriber, except as may be specifically required by law or court order. If any breach of security, theft, loss, or unauthorized disclosure of Subscriber’s username and password information occurs, Subscriber must immediately notify BikeWear World of said security breach. Subscriber is responsible for all access to and use of the Site by Subscriber, (including usage attributed to passwords issued to Subscriber, if any), and/or other access to and use of the Site as may be used under Subscriber’s account whether or not Subscriber has apparent knowledge of or denies any third party authorization of such access and use until BikeWear World reasonably acknowledges receipt of Subscriber’s written notification of the security breach.

4. Disclaimer of Warranties

THE SITE AND ALL FEATURES, DATA, MATERIALS, SUBMISSIONS, AND CONTENT ARE PROVIDED "AS IS," AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OMISSIONS, COMPLETENESS, CURRENTNESS AND DELAYS. BIKEWEAR WORLD, MAKES NO EXPRESS, IMPLIED OR STATUTORY REPRESENTATIONS, WARRANTIES, OR GUARANTEES IN CONNECTION WITH THE SITE, THE QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF ANY THE FEATURES, DATA, MATERIALS, THIRD PARTY CONTENT AND/OR SUBMISSIONS PRESENTED ON THE SITE.

SUBSCRIBER PARTICULARLY ACKNOWLEDGES THAT PROVISION OF URIDE.TV ENTAILS THE LIKELIHOOD OF SOME HUMAN AND MACHINE ERRORS, DELAYS, INTERRUPTIONS AND LOSSES, INCLUDING THE INADVERTENT LOSS OF DATA OR DAMAGE TO MEDIA. NEITHER BIKEWEAR WORLD NOR ITS CONTRIBUTORS MAKE ANY WARRANTY THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED, SECURE, COMPLETE OR ERROR FREE. BIKEWEAR WORLD DOES NOT PROVIDE ANY WARRANTIES AGAINST VIRUSES, SPYWARE OR MALWARE THAT MAY BE INSTALLED ON YOUR COMPUTER.

BikeWear World is not responsible for any incorrect or inaccurate content posted on the Website or in connection with the Features and services provided, whether caused by BikeWear World, its Contributors, Subscribers or by any of the equipment or programming associated with or utilized by BikeWear World.

If you are dissatisfied with the Site, the service or any part thereof, your exclusive remedy is to discontinue using the BikeWear World Features, service(s) and website.

5. Limitation of Liability

BIKEWEAR WORLD SHALL NOT BE LIABLE TO YOU FOR ANY DAMAGES RESULTING FROM YOUR USING, DISPLAYING, COPYING, OR DOWNLOADING ANY MATERIALS, THIRD PARTY CONTENT OR SUBMISSIONS TO OR FROM THE SITE. IN NO EVENT SHALL BIKEWEAR WORLD BE LIABLE TO YOU FOR ANY INDIRECT, EXTRAORDINARY, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) HOWEVER ARISING, EVEN IF BIKEWEAR WORLD KNOWS THERE IS A POSSIBILITY OF SUCH DAMAGE.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation and exclusions may not apply to you.

IN ANY SUCH CASE, SUBSCRIBER'S EXCLUSIVE REMEDY AND BIKEWEAR WORLD’S, ITS AFFILIATES AND/OR CONTRIBUTORS' ENTIRE LIABILITY UNDER THIS AGREEMENT, IF ANY, FOR ANY CLAIM(S) FOR DAMAGES RELATING TO BIKEWEAR WORLD FEATURES, DATA OR URIDE.TV WHICH ARE MADE AGAINST THEM, INDIVIDUALLY OR JOINTLY, WHETHER BASED IN CONTRACT OR NEGLIGENCE, SHALL BE LIMITED TO $100.00 OR THE AGGREGATE AMOUNT OF ANY CHARGES PAID BY SUBSCRIBER RELATIVE TO THE SPECIFIC FEATURE, WHICH IS THE BASIS OF THE CLAIM(S) DURING THE 12 MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. IN NO EVENT SHALL BIKEWEAR WORLD, ITS AFFILIATES AND/OR CONTRIBUTORS BE LIABLE TO SUBSCRIBER FOR ANY CLAIM(S) RELATING IN ANY WAY TO
(i) SUBSCRIBER'S INABILITY OR FAILURE TO ACCESS THE RESPECTIVE FEATURES, WEBSITE OR DATABASES, EVEN IF ASSISTED BY BIKEWEAR WORLD, ITS AFFILIATES OR CONTRIBUTORS, OR ANY DECISION MADE OR ACTION TAKEN BY SUBSCRIBER IN RELIANCE UPON ANY DATA, CONTENT OR FEATURE;
(ii) THE PROCURING, COMPILING, INTERPRETING, EDITING, WRITING, REPORTING, OR DELIVERING OF ANY DATA, FEATURE OR SUBMISSION, OR
(iii) ANY LOST PROFITS OR OTHER CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES RELATING IN WHOLE OR IN PART TO SUBSCRIBER'S RIGHTS UNDER THIS AGREEMENT OR USE OF, OR INABILITY TO USE ANY BIKEWEAR WORLD FEATURE, DATA, OR ANY DAMAGE OR CLAIM CAUSED THEREBY - EVEN IF BIKEWEAR WORLD, ITS AFFILIATES AND/OR CONTRIBUTORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; OR. FURTHER, BIKEWEAR WORLD SHALL HAVE NO LIABILITY WHATSOEVER TO SUBSCRIBER FOR ANY CLAIM(S) RELATING IN ANY WAY TO ANY THIRD PARTY SUBMISSION.

6. Term Limitation on Claims

Except for claims relating to improper use of BikeWear World Features or www.uRide.tv, no claim, regardless of form, which in any way arises out of this Agreement, may be made, nor such claim brought, under this Agreement more than one year after the basis for the claim becomes known to the party desiring to assert it.

7. Subscriber Agreement To Hold Harmless, Defend and Indemnify

Subscriber agrees to hold harmless and indemnify BikeWear World and its owners, officers, managers, members, agents, and employees, from and against any third party claim arising from or in any way related to Subscriber’s use of or conduct on the Site, including, any liability or expense arising from all claims, liabilities, losses, damages (actual and consequential), suits, judgments, litigation costs, expenses, and attorneys' fees, of every kind and nature.

Subscriber further agrees, that at BikeWear World’s reasonable request, he or she shall defend BikeWear World in relation to, arising from, or for the purpose of avoiding, any claim or demand from any third party that Subscriber’s use of the Site or the use of the Site by any person accessing the site by using Subscriber’s user name and/or password allegedly violates any applicable law or regulation, or the copyright(s), trademark rights or other rights of any third party.

8. Effect of Agreement

This Agreement (which includes all current and future Additional Terms) embodies the entire understanding between the parties with respect to the subject matter of this Agreement and supersedes any and all prior understandings and agreements, oral or written, relating to the subject matter. BikeWear World may amend the terms and conditions of this Agreement at any time by posting written or online notice.

9. Force Majeure

BikeWear World’s performance under this Agreement is subject to interruption and delay due to causes beyond its reasonable control, such as acts of God, acts of any government, war or other hostility, civil disorder, the elements, fire, explosion, power failure, equipment failure, industrial or labor dispute, inability to obtain necessary supplies and the like.

11. General Provisions

This Agreement will be governed by and construed under the law of the State of California, U.S.A. without regard to conflicts of law provisions. Subscriber particularly agrees that the State and Federal courts sitting in the County of San Diego, California will have exclusive jurisdiction over any claim arising out of this Agreement and each party consents to the exclusive jurisdiction of such courts. Neither this Agreement nor any part or portion may be assigned, sublicensed or otherwise transferred by Subscriber without BikeWear World’s prior written consent. Should any provision of this Agreement be held to be void, invalid, unenforceable or illegal by a court, the validity and enforceability of the other provisions will not be affected thereby. Failure of any party to enforce any provision of this Agreement will not constitute or be construed as a waiver of such provision or of the right to enforce such provision.

12. Ideas and Concepts.

Any and all title, ownership rights, and intellectual property rights concerning any ideas, concepts, suggestions, materials and the like that Subscriber provides to BikeWear World regarding www.uRide.tv or any other software, features or data shall become the exclusive property of BikeWear World, and may be used for its business purposes in its sole discretion without any payment, accounting, remuneration or attribution to Subscriber.

YOU REPRESENT, ACKNOWLEDGE AND AGREE THAT YOU ARE AT LEAST 18 YEARS OF AGE OR THAT YOU ARE THE PARENT OR LEGAL GUARDIAN OF A USER THAT IS OVER THE AGE OF 13, AND YOU AGREE TO THESE TERMS. IF YOU ARE THE PARENT OR LEGAL GUARDIAN OF A USER OF THIS SITE AND/OR PRODUCTS AND YOU HAVE QUESTIONS ABOUT THIS SITE OR THESE TERMS, PLEASE CONTACT US.
